By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference. If you do not agree to all the terms and conditions of this agreement, then you may not access the Services.
These Terms constitute a legally binding agreement between you, as an individual user or, if applicable, the educational institution or organization you represent ("User," "you," or "your"), and Root Compass LLC. These Terms govern your access to and use of Root Compass LLC website, mobile applications, and all associated services, features, content, and functionality (collectively, the "Services").
By clicking "I Agree," accessing, browsing, or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of an educational institution or organization, you represent and warrant that you have the authority to bind such institution or organization to these Terms.
You must be at least 18 years old to use the Services as an individual user or to register an account on behalf of an Educational Institution. If you are under 18, you may use the Services only with the involvement of a parent, guardian, or an authorized educator from an Educational Institution.
Subject to these Terms, Root Compass LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services solely for their intended purpose of literacy data tracking and analysis within an educational context.
If you create an account, you are responsible for maintaining the confidentiality of your account login information and for all activities that occur under your account. You agree to notify Root Compass LLC immediately of any unauthorized use of your account or any other breach of security. Root Compass LLC will not be liable for any loss or damage arising from your failure to comply with this section.

Root Compass LLC is committed to protecting the privacy of all Users, especially students. Our collection, use, and disclosure of Student Data are governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you acknowledge and agree to the practices described in our Privacy Policy.
Educational Institutions are responsible for obtaining all necessary consents from parents/guardians or eligible students, as required by applicable laws (e.g., FERPA, COPPA), before providing Student Data to Root Compass LLC.
All Content provided by Root Compass LLC as part of the Services, including but not limited to text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software, is the property of Root Compass LLC or its content suppliers and protected by United States and international copyright, trademark, patent, and other intellectual property laws.
You retain all rights to any Content you submit, post, or display on or through the Services. By submitting, posting, or displaying Content, you grant Root Compass a worldwide, non-exclusive, royalty-free, transferable license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such Content in any and all media or distribution methods (now known or later developed) solely for the purpose of providing, operating, improving, and promoting the Services.
You represent and warrant that you have all necessary rights, power, and authority to grant the rights granted herein to any Content that you submit.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, Root Compass LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Root Compass LLC DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. Root Compass LLC DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE SERVICES IN TERMS OF THEIR CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Root Compass LLC, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICES. UNDER NO CIRCUMSTANCES WILL Root Compass LLC BE RESPONSIBLE FOR ANY DAMAGE, LOSS, OR INJURY RESULTING FROM HACKING, TAMPERING, OR OTHER UNAUTHORIZED ACCESS OR USE OF THE SERVICES OR YOUR ACCOUNT OR THE INFORMATION CONTAINED THEREIN.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL LIABILITY OF Root Compass LLC FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT, OR OTHERWISE, IS LIMITED TO THE AMOUNT YOU PAID TO Root Compass LLC FOR THE USE OF THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED U.S. DOLLARS ($100.00), WHICHEVER IS LESS.
You agree to defend, indemnify, and hold harmless Root Compass LLC, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, your User Content, any use of the Services' content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Services.
Root Compass LLC reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.
We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
If you wish to terminate your account, you may simply discontinue using the Services. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
These Terms shall be governed and construed in accordance with the laws of the State of Rhode Island, without regard to its conflict of law provisions.
Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration in Rhode Island, in accordance with the rules of the American Arbitration Association. The prevailing party in any arbitration or other proceeding arising under these Terms shall be entitled to receive reimbursement of its reasonable expenses (including reasonable attorneys' fees, expert witness fees, and all other expenses) incurred in connection therewith.
If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Root Compass LLC's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Root Compass LLC regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.
